Proventus Role

Proventus advised LATAM Airlines throughout the entire sale process, including selection of potential buyers and definition of valuation parameters. Together with LATAM, a long-term Ground Handling Services contract was developed and negotiated with Talma with the goal to maximize transaction value without compromising future profitability levels for LATAM in Ecuador

Results

LATAM sold its ground handling operation to a qualified provider with a long-term contract that will be advantegeous for both parties

Proventus Role

Proventus was hired by Arca Continental as co-advisor for the transaction. Proventus performed the valuation and led the sinergy analysis. Proventus actively participated with financial and legal advisors in structuring the transaction. Proventus had a central role in the analysis, negotiation and Due Diligence of the transaction.

Results

The acquisition allowed Arca to consolidate its presence in the Ecuadorean snack market by buying a major player in the industry. The creativity in the acquisition structure allowed Arca to make a competitive offer while minimizing exposure to contingencies
